Referral Agreement

BETWEEN:

iDream Media Group Inc.

(“iDream”)

AND:

________________________________

(the “Referral Partner”)

(collectively the “Parties”)

WHEREAS:  

1. iDream maintains a website and program for the real estate industry which contains access to potential home buyers for properties for sale, new build developments and various social media platform and marketing sites encompassing all required resources for home buyers and sellers (the “Platform”).
2. iDream and the Referral Partner wish to set forth their agreement as to the Referral Partner’s contribution and participation in the Referral Package.

In consideration of the mutual covenants and agreements contained in this Agreement, the parties hereto agree as follows:  

Purpose

1. Upon the execution of this Agreement iDream will from time to time refer potential clients to the Referral Partner. The Referral Partner agrees to the payment of any and all monthly fees due in exchange for these referrals, as set out in their On Boarding Package set out in paragraph 5 herein.
2. iDream will provide certain leads to the Referral Partner (the “Lead”) resulting from activity on the Platform. The Referral Partner will upon receipt of such Lead, will communicate directly with the client to assist in their real estate needs, either selling or buying or any associated situation.

Term

3. This Agreement shall commence on the ____ of ______________, 20____, and terminate one (1) year after the commencement date, unless otherwise terminated in accordance with the provisions of this Agreement.

  Referral Partner’s Responsibilities

4. The Referral Partner must devote reasonable time and effort to communicate timely manner with all Leads.
5. iDream reserves the right to communicate with all Leads, via email, text or phone call for the purposes of testimonials, reviews, how their experience has been with the Referral Partner, and any feedback.
6. Should the Referral Partner not communicate with Leads provided to them, this may result in the termination of this Agreement in the sole discretion of iDream.

  On Boarding Packages

7. The Referral Partner has three (3) different packages to choose from, as itemized below and more detailed in the attached Schedule:

LAUNCH MEMBERSHIP PREMIER MEMBERSHIP PLATINUM MEMBERSHIP   My choice of package: ________________________________________________   Payment Option (monthly or yearly):  ___________________________________   All referral fees are payable to Sean Thomas PREC* at ReMax Generation.  The Package payments are paid through Stripe, a third-party credit card payment system.  

8. If the Referral Partner desires to pay in full the cost of the full year, 2 months will be provided free of charge, ie. payment in full for the full year will be 10 months cost.
9. The Referral Partner may also pay the monthly fee in monthly for the full twelve months.
10. Should the Referral Partner refer a new Referral Partner, they will receive a month free of the On Boarding Package they are currently subscribed to.
11. Monthly fees can change at the sole discretion of iDream.
12. iDream will provide the Referral Partner with thirty (30) days notice of the upcoming renewal of their package.

Termination

13. This Agreement will terminate at the end of the one (1) year period. The Referral Partner has the option to renew this Agreement for a further year term, at the same terms as set out above, ie. pay month to month or pay the full year at the cost of 10 months payments.
14. Should the Referral Partner wish to terminate this Agreement before the end of the Terms, it agrees to pay three (3) months fee or the full remainder of their contract, whichever comes first.
15. Referral Partners will be given 30 days notice before the end of their Term. Should the Referral Partner wish to continue with another Term, this Agreement will extend for a further 12 month period, at a rate to be determined by iDream.
16. Upon the cancellation of this Agreement, the Referral Partner has seven (7) days to export their Leads from the Platform before their access is permanently removed.

Liability  

17. The Referral Partner hereby assumes all risks incidental to its performance of real estate agent on the sale or purchase resulting from any Leads, and shall, at all times, fully indemnify and save iDream harmless, its successors and assigns, from and against any and all claims, damages, losses, costs and expenses which the Referral Partner may from time to time incur or suffer as a result of, or arising out of, and may be caused by the negligence of the Referral Partner, its agents, servants or employees under this Agreement.

  Assignment  

18. It is expressly agreed that this Agreement shall not be assigned or transferred in whole or in part.
19. Leads may not be assigned to anyone other than an IDream Referral Partner. The Lead must be allocated by the IDream Lead Gen via Follow Up Boss.

  Confidential Information

20. Except as may be necessary in the performance of this Agreement, the Referral Partner shall not at any time or in any manner make or cause to be made any electronic versions, copies, pictures, duplicates, facsimiles or other re-productional recordings of any type, or any extracts or summaries of any reports, studies, memoranda, correspondence, manuals, records, plans or other written, printed or other recorded material of iDream, or which relate in any manner to the present or prospective business of iDream. The Referral Partner shall have no interest in any of this material and agrees to surrender any of this material which may be in the Referral Partner’s possession to iDream immediately upon the termination of this Agreement or at any time prior to the termination of this Agreement upon the request of iDream.
21. The Referral Partner shall not at any time, except as required by law, divulge any matters related to the business of iDream or any member, client, customer or agent of iDream which may become known to the Referral Partner by reason of this Agreement and shall be true to iDream in all dealings and transactions related to the Platform. Furthermore, the Referral Partner shall not use at any time (whether during the continuance of this Agreement or after its termination) for the Referral Partner’s own benefit or purposes or for the benefit or purposes of any other person, firm, corporation, association or other business entity, any trade secrets, business development programs, or plans belonging to or relating to the affairs of iDream, including knowledge relating to any member, client, customer or agent of iDream.

  Severability

22. In the event that any provision or part of this Agreement shall be deemed void or invalid by a court of competent jurisdiction, the remaining provisions or parts of it shall be, and remain, in full force and effect.

  Entire Agreement

23. This Agreement and the appendices hereto constitute the entire Agreement between the Parties and any and all previous agreements, written or oral, express or implied between the Parties, or on their behalf are terminated and cancelled and each of the Parties releases and forever discharges the other of and from all manner of actions, causes of action, claim or demands whatsoever upon or in respect of any previous agreement.

Enurement

24. The provisions of this Agreement shall enure to the benefit and be binding upon the Referral Partner and the Referral Partner’s heirs, executors and administrators, successors and assigns, and upon iDream and any related corporations or operations, and its successors and assigns.

Modification of Agreement

25. Any modification to this Agreement must be in writing, signed by the Referral Partner and by a designated officer of iDream or it shall not have effect and shall be void.

  Governing Law and Jurisdiction  

26. This Agreement shall be governed by and construed in accordance with the laws of the province of British Columbia and any cause of action arising out of this Agreement or any relationships between the parties hereto shall be commenced and maintained in the court of competent jurisdiction in the said province of British Columbia.

  Headings

27. The headings utilized in this Agreement are for convenience only and are not to be construed in any way as additions or limitations of the covenants and agreements contained in this Agreement.

  Notices

28. Any notice required to be given to the Referral Partner shall be sufficiently given if delivered to the Referral Partner personally or mailed by registered mail to the Referral Partner’s address, last known to iDream. Any notice required or permitted to be given to iDream shall be sufficiently given if delivered or mailed by registered mail to the chairman of the Board of Directors of iDream at iDream’s head office. Any notice given by mail shall be deemed to have been given 48 hours after the time it was posted.
